Partner Policy & Liability Allocation
This Partner Policy governs the relationship between Namah (“Platform Owner”) and the individual or entity registering as a Partner (“Partner”).
1. Platform Nature
- Namah provides a private technology platform only.
- Namah is not a marketplace operator, agent, employer, or franchise.
- No revenue, traffic, or continuity is guaranteed.
2. Shops Are Partner’s Sole Responsibility
- All shops onboarded by the Partner are onboarded at the Partner’s sole risk.
- Partner is fully responsible for verification, legality, accuracy, licenses, taxes, pricing, menus, and operations of shops.
- Any dispute, claim, penalty, loss, or liability arising from shops shall be borne entirely by the Partner.
- Namah has no obligation to verify or monitor shop information.
3. Fees, Cash & Collections
- Partner may collect platform fees, commissions, or service charges directly from shops, including in cash.
- Partner alone is responsible for accounting, taxation, reporting, and legality of such collections.
- Namah bears no responsibility for cash handling or disputes between Partner and shops.
4. Enforcement & Discretion
- Namah may suspend, restrict, or terminate Partner access at any time, with or without notice.
- Namah may disable or remove shops, withhold or adjust payouts, or restrict features based on risk or policy decisions.
- All determinations by Namah are final and binding.
5. Indemnity
- Partner agrees to indemnify and hold harmless Namah from any claims, losses, penalties, or legal actions arising from Partner conduct or shops onboarded by Partner.
6. No Ownership
- Partner has no ownership or exclusivity over shops, users, or data.
- Shops may be reassigned or removed at Namah’s discretion.
7. Legal
- Governing law: India.
- Jurisdiction as determined by Namah.
- Acceptance is recorded electronically; continued use constitutes ongoing consent.
This policy is binding even if not read. Acceptance is logged with timestamp, IP address, and device metadata.
